US Foods acquiring SGA’s Food Group of Companies

US Foods Holding Corp. has entered into a definitive agreement to purchase SGA’s Food Group of Companies, which has combined 2017 net sales of $3.2 billion, approximately 33,000 customers, 12 distribution centers and more than 20 private brands. Headquartered in Scottsdale, AZ, it operates as five separate operating companies: Food Services of America, Inc.; Systems Services of America, Inc.; Amerifresh, Inc.; Ameristar Meats, Inc.; and GAMPAC Express, Inc.

The US Foods board of directors has unanimously approved the transaction, valued at $1.8 billion in cash, subject to regulatory approval and other customary closing conditions.
